Job Summary: We are seeking a highly skilled and experienced Legal/Compliance Officer to join our team. The ideal candidate should have 6 - 8 years of experience, preferably gained in a law firm setting, and possess expertise in private market transactions, funds, capital markets, and regulatory & statutory compliance. Key Responsibilities:
• Legal Advisory & Compliance: Provide legal and regulatory advice on private market transactions, funds, capital markets, and related regulatory issues.
• Regulatory Compliance: Ensure compliance with relevant laws, regulations, and statutory requirements, including local and international financial regulations.
• Private Market Transactions & Fund Structuring: Advise on structuring, negotiating, and drafting documents related to private equity, venture capital, and other private market transactions.
• Capital Markets: Assist in the legal and regulatory aspects of capital markets transactions, including debt/equity offerings and public/private fundraisings.
• Due Diligence & Documentation: Conduct legal due diligence and assist with the preparation and review of transaction documents, such as investment agreements, fund formation documents, and regulatory filings.
• Risk Management: Identify potential legal and compliance risks in transactions and proactively work with senior management to mitigate such risks.
• Training & Development: Train and guide internal teams on legal/compliance matters, ensuring continuous compliance with relevant laws and regulations.
• Internal Policy Development: Contribute to the development and implementation of internal policies, procedures, and compliance frameworks to ensure best practices are adhered to.
Requirements:
• Experience: 6 - 8 years of relevant experience in private market transactions, funds, capital markets, and regulatory compliance from a reputable law firm.
• Educational Qualifications: A law degree (LL.B) from a recognized institution. Additional qualifications in compliance, finance, or corporate law are a plus.
• Technical Skills: Strong knowledge of relevant regulations and laws governing private markets, funds, capital markets, and corporate compliance. Proficiency in legal research and drafting.
• Communication Skills: Excellent written and verbal communication skills, with the ability to communicate complex legal matters clearly to both legal and non-legal stakeholders.
• Attention to Detail: Strong attention to detail, with the ability to analyze complex legal and regulatory issues and provide practical solutions.
• Problem-Solving: Strong analytical, research, and problem-solving skills with the ability to handle multiple projects simultaneously.
• Teamwork: Ability to work collaboratively in a cross-functional team and maintain strong relationships with internal and external stakeholders.
